At Windmiller Properties, we are committed to delivering exceptional craftsmanship and a seamless construction experience. These terms and conditions are designed to ensure clarity, transparency and mutual success throughout every project.

1. Acceptance of Terms

By accessing our website, requesting services, or entering into contract with Windmiller Properties, you agree to be bound by these Terms and Conditions. If you do not agree, please refrain from using our services.

2. Scope of Services

Windmiller Properties provides commercial construction services including, but not limited to:

  • Ground up construction
  • Renovations and tenant improvements ‘
  • Project management
  • Design-build services


All services will be defined in a separate written agreement or contract specific to each project.

3. Project Agreements

All construction projects require a formal written agreement outlining.

  • Scope of work
  • Project timeline
  • Payment Schedule
  • Materials and specifications


In the event of conflict, the signed project contract will take precedence over these Terms and Conditions.

4. Payment Terms

  • Payments are due according to the schedule outlined in the project agreement.
  • Late payments may be subject to interest charges at the maximum rate allowed by law.
  • Failure to make timely payments may result in work stoppage or termination of services

5. Change Orders

Any modifications to the original scope of work must be documented through a written change order and approved by both parties.

Additional cost and timeline adjustments may apply.

6. Permits and Compliance

Unless otherwise specified:

  • Windmiller Properties will obtain necessary permits required for construction.
  • Clients are responsible for ensuring compliance with zoning, land use and any property-specific restrictions.


7. Project Timelines

Estimated timelines are provided in good faith but may be affected by:

  • Weather conditions
  • Material availability
  • Labor shortages
  • Unforeseen site conditions

Windmiller Properties are not responsible for delays outside of reasonable control.

8. Warranties

Windmiller Properties provides workmanship warranties as outlined in the project agreement.

The warranty does not cover:

  • Normal wear and tear
  • Damage caused by misuse, neglect, or third parties
  • Acts of nature (e.g. storms, flooding)


Manufacturer warranties for materials will be passed on to the client where applicable.


9. Limitation of Liability

To the fullest extent permitted by law:

  • Windmiller Properties shall not be liable for indirect, incidental, or consequential damages.
  • Total liability shall not exceed the total amount paid for the project.

10. Insurance

Windmiller Properties maintains appropriate insurance coverage, including:

  • General liability insurance
  • Worker’s compensation insurance


Proof of insurance can be provided upon request.


11. Termination

Either party may terminate a project agreement under the terms outlined in the contract. Upon termination:

  • The client is responsible for payment of all work completed to date
  • Any materials purchased for the project may be billed to the client


12. Intellectual Property

All designs, drawings, renderings, and documents created by Windmiller Properties remain its intellectual property unless otherwise agreed in writing.


13. Website Use

By using our website, you agree:

  • Not to misuse or attempt to disrupt the website
  • Not to copy or distribute content without permission.

All website content is provided for informational purposes only and may be updated without notice.

14. Dispute Resolution

Any disputes arising from services provided by Windmiller Properties should first be addressed through good-faith negotiation.

If unresolved, disputes may be subject to:

  • Mediation
  • Arbitration
  • Jurisdiction in the state of Texas


15. Governing Law

These Terms and Conditions are governed by the laws of the state of Texas.


16. Updates to Terms

Windmiller Properties reserves the right to update these Terms and Conditions at any time. Updates will be posted on this page with a revised effective date.


17. Commercial Leasing

In addition to construction services, Windmiller Properties may offer commercial real estate for lease.

All these arrangements are governed by a separate, legally binding lease agreement which will outline:

  • Lease term
  • Rent and payment structure
  • Tenant responsibilities
  • Maintenance obligations
  • Use of premises

In the event of any conflict, the Lease Agreement will take precedence over the Terms and Conditions.

18. Condition of Premises

All leased properties are provided “as-is”, unless otherwise stated in writing. Tenants acknowledge that:

  • They have inspected the premises prior to occupancy
  • The property is suitable for their intended use
  • Any requested modifications must be approved in writing


19. Use of Property

Tenants agree to:

  • Use the premises only for agreed commercial purposes
  • Comply with all local, state, and federal laws
  • Not engage in activities that may damage the property or disrupt other tenants.20. Maintenance & Repairs


20. Maintenance responsibilities will be outlined in the Lease Agreement. Unless otherwise specified:

  • Tenant is responsible for routine maintenance
  • Windmiller Properties is responsible for structural components and major systems.


21. Rent and Payment Obligations

  • Rent is due as outlined in the Lease Agreement
  • Late payments may incur fees or penalties
  • Failure to pay rent may result in default and legal action

22. Alterations and Improvements

Tenants may not make alterations and improvements, or additions without prior written consent from

Windmiller Properties.

Any approved improvements may become property of the landlord unless otherwise agreed.

23. Insurance Requirements for Tenants

Tenants may be required to maintain:

  • General liability insurance
  • Property insurance for their contents


Proof of insurance may be required prior to occupancy


24. Default and Termination

Failure to comply with lease terms may result in:

  • Notices of default
  • Termination of Lease
  • Legal actions to recover damages or possessions
